Azevedo Sette Advogados was the legal advisor to CGN group in Brazil, in the process of obtaining lenders’ consent for change of control in the acquisition by CGN Energy International Holdings Co., Limited through its subsidiary in Brazil of 100% of the shares held by Actis Brasil Energia Fundo de Investimento em Participações Multiestratégia in Atlantic Energias Renováveis S.A., which holds 4 wind power plants with installed capacity of 642MW (447MW in operation and 195MW in construction). Banco Santander S/A was the financial advisor of the deal.

EURUS II / RENASCENÇA V: The lenders’ consent process included the consent of BNDES and the execution of amendments to financing agreements and guarantee agreements with BNDES and an insurance company.

MORRINHOS: The lenders’ consent process included the consents of BNDES, Banco Itaú BBA, Banco Bradesco, Banco Santander and debentureholders in a debentureholders meeting. It also included the execution of amendments to financing agreements and guarantee agreements with such banks to replace FIP Actis by CGNEI’s subsidiary.

LAGOA DO BARRO: The lenders’ consent process included the consents of BNB, Banco Itaú BBA, Banco ABC, Banco Pine and Banco BTG. It also included the execution of amendments to financing agreements and guarantee agreements with such banks and amendments to turbine supply agreements and O&M agreements with Nordex Acciona Windpower to replace FIP Actis by CGNEI’s subsidiary.

SANTA VITÓRIA DO PALMAR: The lenders’ consent process included the consents of BNDES, BRDE, Banco Itaú BBA, Banco Bradesco, Banco ABC, Banco ABN, Banco Sumitomo and Inter-American Development Bank (IDB). It also included the execution of amendments to financing agreements and guarantee agreements with such banks and amendments to turbine supply agreements and O&M agreements with Nordex Acciona Windpower to replace FIP Actis by CGNEI’s subsidiary.
